Bright Minds Biosciences Inc. Website Terms of Use

Effective Date: October, 2026

Last Updated: October 14, 2026

These terms of use (these “Terms”) apply to your access to, and use of, our websites operated by Bright Minds Biosciences Inc., (“we” or “us”), which includes brightmindsbio.com and investors.brightmindsbio.com (collectively, the “Site”). By using the Site, including any Content made available through the Site, you accept and agree to be bound by these Terms and all applicable laws and regulations.  Where the Site invites you to submit information through a form, your submission of that form is a further confirmation of your acceptance of these Terms.

PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS, INCLUDING, BUT NOT LIMITED TO, VARIOUS LIMITATIONS, EXCLUSIONS AND INDEMNITIES. IF YOU RESIDE IN THE UNITED STATES, SECTION 14 REQUIRES YOU TO RESOLVE MOST DISPUTES WITH US THROUGH BINDING INDIVIDUAL ARBITRATION (UNLESS YOU OPT OUT AS DESCRIBED IN THAT SECTION) AND INCLUDES A WAIVER OF YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

Unless we expressly disclaim any of these Terms in writing, your use of this Site and any Content (defined below) we provide will always be subject to these Terms.

If you do not agree with these Terms or are unable to comply with every provision of these Terms, you may not use the Site (which includes any Content or services made available through it).

(1)           Changes to the Terms

We may change or add to these Terms at any time. We will publish each amendment on, or link to it through, this Site, and any such amendment will take effect thirty (30) days following its publication (the “Amendment Effective Date”). In the case of material changes, we will use reasonable efforts to notify you by email or by conspicuous notice on this Site prior to the Amendment Effective Date. What constitutes a material change will be determined at our sole discretion. You are responsible for regularly reviewing this Site to obtain timely notice of any additional terms that may apply. If any amendment is unacceptable to you, you may terminate your agreement to these Terms by ceasing your use of this Site or any Content or materials you have obtained through this Site prior to the Amendment Effective Date. If you continue to use this Site after the Amendment Effective Date, you will be deemed to have accepted the amended version of these Terms.

(2)           Interpretation

(2.1)       In these Terms:

·               the division into sections and the insertion of headings are for convenience of reference only and are not to affect the construction or interpretation of these Terms;

·               the words “including”, “includes” or the phrase “such as”, or similar phrases, should be read as “without limitation” or “but not limited to” or similar phrases immediately following it; and

·               the word “or” does not imply an exclusive relationship between the matters being connected (so it can always be read as “and/or” unless the context requires).

(3)           Your Use of this Site is Licensed by Us, and is Subject to These Terms

(3.1)       License grant—Subject to these Terms, we grant you permission to use and access this Site through a personal, non-exclusive, non-transferable, limited license to use this Site for temporary, non-commercial purposes, provided that with respect to any materials obtained from this Site, you may not do any of the following without our prior written consent:

  • modify, copy, reproduce or create derivative works of such materials (except as explicitly provided in connection with those materials through this Site);
  • use the materials for any commercial purpose;
  • distribute, sell or transmit the materials;
  • publicly display, publish or perform the materials (for any purpose, commercial or non-commercial);
  • attempt to decompile or reverse engineer any software or database contained in or access through this Site; or
  • remove any copyright, trademark or other proprietary notations.

(3.2)       Rights maintained—All rights not expressly granted to you are reserved by us and, if applicable, our licensors.

(3.3)       Permitted activities—You are permitted to provide links to this Site through email, social media, or other similar methods, but you must ensure that such methods do not (i) involve framing or embedding of any portion of this Site within another website or service without our prior written consent, (ii) imply any affiliation between you and us, or you and this Site without our prior written consent, (iii) portray us or this Site in a false, misleading, derogatory or otherwise defamatory manner, or (iv) use this Site in a commercial context, without our prior written consent.

(4)           Privacy and Data Protection

(4.1)       Privacy Policy—Your privacy is important to us. By using the Site, you acknowledge that you have read and understood our Privacy Policy, available at https://brightmindsbio.com/privacy-policy (“Privacy Policy”), where we outline how we collect, use, and process personal information.

(5)           Eligibility for use

This Site is intended solely for users who are of the legal age of majority in their jurisdiction of residence. The Site is not directed to children, and we do not knowingly collect personal information from children under the age of majority. Any use of this Site by anyone who does not meet those criteria is unauthorized, unlicensed, and will be deemed in violation of these Terms. In our sole discretion, with or without notice to you, we may take actions to protect against such violations, including deleting or blocking Content, or otherwise prohibiting you from using this Site. Regardless of whether we take action, it does not in any way waive any other legal right or remedy we may have against you.

(6)           Medical and Scientific Information

(6.1)       No medical advice. The Site describes our research programs and product candidates for general informational purposes. Nothing on the Site is medical advice, a recommendation of any treatment, or a substitute for consultation with a qualified healthcare professional, and no physician-patient relationship is created by your use of the Site. You should not disregard or delay seeking medical advice because of anything you read on the Site, and you should not begin or alter any treatment without consulting your physician.

(6.2)       Investigational product candidates. Our product candidates are investigational. They have not been approved by the U.S. Food and Drug Administration or by any other regulatory authority for any use, their safety and effectiveness have not been established, and nothing on the Site is an offer to supply any product candidate or a representation that any product candidate is available outside a clinical study.

(6.3)       Clinical study information. Any description of a clinical study is provided for information only and is not an invitation or inducement to participate. Eligibility is determined by the investigators conducting the study, and participation is subject to informed consent and to the protocol approved for that study.

(6.4)       Scientific information. Descriptions of study results reflect the data as reported at the time of publication, are subject to the limitations of the studies in which they were generated, and should not be read as conclusions about the safety or effectiveness of any product candidate.

(7)           Rights related to Our Content and Your Content

(7.1)       Definition of Content—In these Terms, “Content” means all materials and content available on or through this Site, which includes designs, editorial, text, graphics, audiovisual materials, multimedia elements, photographs, videos, music, sound recordings, reports, documents, software, information, formulae, patterns, data and any other work. In terms of Our Content, this also includes source code, processes, designs, technologies, URLs, domain names, trademarks and logos forming any part of this Site.

(7.2)       Our Content—Except where expressly stated otherwise, all right, title and interest in and to this Site and all Content made available by us on or through this Site, other than Third Party Content (collectively, “Our Content”), fully belongs to us or our licensors, as applicable. Our Content is protected by applicable copyright, trademark, patent, trade secret or other proprietary rights or intellectual property laws and is licensed subject fully to these Terms. You may not use, export or re-export Our Content or any copy or adaptation thereof in violation of any applicable laws or regulations, including export control laws and regulations of Canada and the United States in force from time to time and any applicable economic sanctions.

(7.3)       Third Party Content—This Site may link to or otherwise make available Content from third parties (collectively, “Third Party Content”). That Third Party Content is theirs and not yours, and may be governed by terms and conditions applicable to Third Party Content. Nothing in your use of this Site grants you any right, title or interest in, or ownership over Third Party Content.

(7.4)       Your Content—Your Content includes Content that you post, upload, input, provide, submit or otherwise transfer to us or to any third party while using this Site (“Your Content”). While we have the right to use Your Content, we have no obligation to monitor Your Content regardless of any context or disclaimers you provide in connection with Your Content. If you make Your Content available in any way through this Site, we deem that to mean that you:

  • grant us a royalty-free, fully paid-up, non-exclusive, irrevocable and perpetual, license that is without any territorial or geographic limitation (a “Full License”) to use, copy, distribute, transmit, display, edit, modify, delete, publish and translate (“Use”) Your Content to the extent we reasonably determine it is necessary for us to provide this Site as it may exist in any medium from time to time;
  • grant us a Full License to Use Your Content in order to ensure adherence to, or enforce, these Terms, or to comply with any applicable law;
  • represent and warrant to us that you have all right, title and interest, as well as the power and authority necessary, to grant a Full License for us to Use Your Content as set out above; and
  • agree to indemnify us from any actions, proceedings, claims, liabilities, damages and reasonable expenses (including legal expenses) relating to, or arising from, Your Content, including instances where Your Content (i) infringes any intellectual property rights, or (ii) is deemed inappropriate, profane, defamatory, infringing, obscene or unlawful.

(7.5)       Personal information. The licenses granted in this section do not apply to personal information you submit through the Site, which we handle in accordance with the Privacy Policy.

(7.6)       Feedback—If you provide to us any comments, ideas, suggestions or impressions of this Site or our products and services (collectively, the “Feedback”), you give us a Full License to use it for any purpose (in accordance with applicable privacy laws), regardless of whether we actively solicited the Feedback or not.

(7.7)       Disclaimer—You are exclusively responsible for determining the accuracy, suitability, harmfulness or legality of Your Content, even if you did not create it. We do not have any obligation to monitor, censor or review any of Your Content or any Third Party Content, or to monitor use of this Site. If we do decide, in our sole discretion, to review or take any action with Content other than Our Content, we have no obligation to take action in the future.

(7.8)       Complaints—If we receive a complaint relating to your use of this Site, including as it relates to Your Content or your use of Third Party Content, we may, in our sole and absolute discretion and without notice or liability, investigate the complaint, and censor, alter or remove Your Content, or take any other action that is permitted by applicable law or these Terms. Nothing we do (or fail to do) waives or limits any rights or remedies that we have.

(8)           Intellectual Property Notices and Complaints

(8.1)       Copyright Notice—This Site and all Content is owned and copyrighted by us and our licensors, and is licensed to you in accordance with these Terms only. All rights are reserved.

(8.2)       Trademark Notice—The trademarks, logos, and service marks displayed on or through this Site, whether registered or unregistered, are the property of us, our licensors or other third parties. You are not permitted to use trademarks, logos and service marks for any purpose without our prior, written consent.

(8.3)       Third Party Trademarks—Except as expressly indicated on this Site, no endorsement, sponsorship, affiliation or other authorization is implied by any use of third-party trademarks.

(9)           Investor Information

(9.1)       No offer of securities. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, and no part of the Site is intended to form the basis of any investment decision. Any offer of securities will be made only by means of the disclosure documents filed with the applicable securities regulators.

(9.2)       Forward-looking statements. The Site contains statements regarding our plans, clinical development, and anticipated results that are forward-looking. Those statements involve risks and uncertainties, actual results may differ materially from them, and we undertake no obligation to update them except as required by applicable securities laws. They should be read together with the risk factors and other disclosures in our filings.

(9.3)       Third-party market information. Stock quotations, lists of analysts providing coverage, and similar market information made available through the investor pages are supplied by third parties, may be delayed, and are not verified or endorsed by us. Analyst estimates and opinions are those of the analysts alone and do not represent our views. We do not express comfort with or provide guidance on any reports or information presented by analysts who are covering Bright Minds Biosciences Inc., and do not comment on or validate any such reports.

(9.4)       Currency of information. Materials on the Site, including news releases and presentations, speak only as of their respective dates and remain available for reference only. Their continued availability is not a confirmation that the information in them remains current.

(10)        Acceptable Use and Prohibitions

(10.1)    In addition to any terms or conditions regarding your use of this Site in these Terms, we may require you to agree to additional terms for particular services, products or areas of this Site from time to time. Any such additional terms that you agree to are deemed to be incorporated into these Terms.

(10.2)    Proper conduct—Without limiting anything else contained in these Terms, you must ensure that (i) you only use this Site for lawful purposes, and (ii) if at any time you become aware of any violation of these Terms, by any person or entity under your control, you will immediately notify us and provide us with assistance, as requested, to stop or remedy such violation.

(10.3)    Prohibited conduct—Without limiting anything else contained in these Terms, you must not, in connection with this Site, directly or indirectly post, upload, reproduce, facilitate, distribute or otherwise transmit any Content or take any action that:

  • violates any applicable law, statute, order or regulation;
  • gives rise to civil liability;
  • is obscene, hateful, inappropriate or objectionable, even if the material or its dissemination is lawful;
  • constitutes defamation, harassment, stalking or abuse or any conduct that violates the legal rights of others;
  • advocates or encourages violence, abuse, hate or discrimination against a person or group based on age, creed, sex, sexual orientation, gender, gender identity, gender expression, family status, marital status, disability, race, ancestry, place or origin, ethnic origin, citizenship, colour, record of offence or association with a person identified by one of these grounds;
  • constitutes unauthorized or unsolicited communications or other forms of “spam”;
  • infringes, violates, or misappropriates the personal rights or intellectual property rights of us or any third party;
  • obtains unauthorized access to, or interferes by any means with, any user, system, network, service or account, including evasion of filters or violation of the security or integrity of any network or system;
  • harvests, scrapes, or uses any robot, spider, crawler, script or other automated means not provided by us to access this Site or to extract data, collect information or otherwise interact with this Site to collect or extract data; or
  • uses any Content to develop, train, or improve any artificial intelligence or machine learning model, or makes any Content available to a third party for that purpose;
  • distributes computer viruses, malware, cancelbots, Trojan horses, worms or other harmful or disruptive content of any kind to this Site, regardless of intent.

(11)        Terminating or Restricting Your Access to this Site

We may, in our sole discretion, suspend, restrict or terminate your use of this Site, including Your Content, effective at any time, without notice to you. This includes, but is not limited to, situations where (i) the operation or efficiency of this Site or our or any third party’s equipment or network is impaired by your use of this Site, (ii) we receive a third-party complaint relating to your use or misuse of this Site, or (iii) you have been or are in breach of any term or condition of these Terms. You acknowledge and agree that our termination, curtailment, or suspension of this Site for any reason may result in restricting, disrupting or suspending your or a third party’s access to Your Content. We will not be held responsible nor liable for any claims of loss resulting from restrictions, disruptions or suspensions. By using this Site, you agree to release us from those claims. If your use of this Site is suspended or restricted, we have no obligation to forward any of Your Content to you or any third party unless required by applicable law.  If you are a California resident, you waive California Civil Code Section 1542, which provides that a general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.

(12)        Disclaimers, Limits of Liability and Indemnities

(12.1)    Internet-based limitations—Your use of this Site depends on the public internet, including networks, cabling, facilities and equipment that is not in our control. Accordingly, (i) we cannot guarantee any minimum level regarding such performance, speed, reliability, availability, use or consistency, and (ii) data, messages, information or materials sent over the internet may not be completely private and your anonymity is not guaranteed.

(12.2)    Third-party links—The Content that you may access while using this Site may contain links to other websites or services (“Third-Party Links”). These links are provided solely for your convenience and are not endorsed, investigated or verified by us. As a result, we are not liable for any losses suffered in connection with these Third-Party Links including any damages arising from their products, services, content, privacy practices or any third parties named therein.

(12.3)    This Site and its Content—All use of this Site and any Content provided by us is to be used at your own risk. This Site and all Content, including all products and services provided under these Terms, are provided on an “AS-IS” and “AS-AVAILABLE” basis. We make no warranties or representations about the suitability, reliability, usability, security, quality, capacity, performance, availability, timeliness or accuracy of this Site or any Content. We expressly disclaim all conditions, warranties and representations, express, implied or statutory, including implied conditions or warranties of merchantability, fitness for a particular purpose, durability, title and non-infringement, whether arising by usage of trade, by course of dealing, by course of performance, at law, in equity, by statute or otherwise howsoever.

(12.4)    Confidential information—You should not send any confidential, proprietary or sensitive information about you or others via this Site. We are not responsible for, and will not be liable to you or anyone else for any damages in connection with an email, text message, comment, post or any other electronic message sent by you through this Site, or an email, text message or any other electronic message sent by us or a third party to you.

(12.5)    Disclaimer of liability— Notwithstanding any other provision of these Terms, and to the maximum extent permitted by applicable law, in no event will we, our affiliates, or our controlling parties, agents, employees, suppliers, licensors, resellers or distributors (collectively our “Affiliates”) be liable for any direct, indirect, special, incidental, consequential or punitive damages, or any other expenses, damages or losses whatsoever, including (whether direct or indirect) damages for loss of profits, goodwill, opportunity, earnings, use or data, arising from or related to these Terms, this Site, or any Content or software in connection therewith, regardless of the cause of action and even if one or more of us have been advised of the possibility of such damages or losses, or if such damages or losses would be reasonably foreseeable. For further clarity, to the maximum extent permissible under applicable law, neither we nor our Affiliates have any liability whatsoever to you for any other expenses, damages or losses. The limitations and exclusions set out herein shall apply only to the maximum extent permitted by applicable laws, and shall not apply to the extent prohibited in any applicable jurisdiction. If any exclusion or limitation in this section is held to be unenforceable in whole or in part, our aggregate liability and that of our Affiliates arising from or related to these Terms or this Site will not exceed one hundred United States dollars (US$100).

(12.6)    Exceptions where (and to the extent) prohibited by law—Some jurisdictions prohibit the disclaimer of certain warranties or conditions or the limitation of certain types of liability. To the extent that any disclaimers, exclusions and limitations in these Terms are prohibited by applicable law, such disclaimers, exclusions and limitations will not apply to the extent prohibited in any applicable jurisdiction.

(12.7)    Indemnity—We provide this Site on the basis of these Terms. By using this Site, you agree to indemnify us, and disclaim our responsibility for, any actions, proceedings, claims, liabilities, damages and reasonable expenses (including legal expenses) relating to or arising from (i) access or use, by you or permitted by you, of this Site, or (ii) any of your acts or omissions, including breach or non-performance of these Terms and any violation of any third party rights. We will notify you of any claim for which we seek indemnification, and you may not settle any such claim in a manner that imposes any obligation or admission on us without our prior written consent. This indemnity applies only to the extent permitted by applicable law.

(13)        General Provisions

(13.1)    No waiver—No waiver of any provision of these Terms is binding unless it is in writing and signed by us. No failure to exercise, and no delay in exercising, any right or remedy, under these Terms will be deemed to be a waiver of that right or remedy. No waiver of any breach of any provision of these Terms will be deemed to be a waiver of any subsequent breach of that provision.

(13.2)    Severability—The invalidity of any particular provision of these Terms does not affect any other provision contained herein, but the Terms are to be construed as if the invalid provision has been omitted.

(13.3)    Time limit for claims. To the extent permitted by applicable law, any claim arising out of or relating to these Terms or this Site must be commenced within one (1) year after the claim arose. A claim not commenced within that period is permanently barred.

(13.4)    Notice—We may provide you with notifications via email, in hard copy, through conspicuous posting of such notice on this Site, as we may determine in our sole discretion.

(13.5)    Applicable law and dispute mechanisms—  If you reside in the United States, these Terms and any Dispute (as defined in Section 14.1) are governed by the laws of the State of New York and the federal laws of the United States applicable therein, without regard to conflict-of-laws principles, and any Dispute will be resolved as provided in Section 14. If you reside outside the United States, these Terms and the rights of the parties hereto are governed by, and construed and interpreted in accordance with, the laws of the province of British Columbia and the laws of Canada applicable therein, and you hereby irrevocably submit to the exclusive jurisdiction of the courts of British Columbia in connection with any matter arising out of or in connection with these Terms. Nothing in this section deprives you of the protection of any mandatory consumer protection law of the jurisdiction in which you reside.

(13.6)    Assignment—We may, without consent in writing, assign, directly or indirectly, our rights under these Terms. You may not assign these Terms or any of your rights or obligations under them without our prior written consent. These Terms will enure to the benefit of, and bind you and us and our respective heirs, executors, administrators, personal and legal representatives, successors and permitted assigns.

(13.7)    Survival—All provisions of these Terms that, by their meaning or nature, are intended to survive termination or expiry of these Terms shall survive termination or expiration of these Terms.

(13.8)    No partnership—No joint venture, partnership, employment or agency relationship exists between us and you as a result of these Terms or your use of this Site.

(13.9)    Entire agreement—These Terms, as amended, including any and all documents, websites, rules, terms and policies referenced herein, constitute the entire agreement between us and you with respect to the matters referred to in these Terms and supersede all prior agreements, negotiations, discussions, undertakings, representations, warranties and understandings whether electronic, oral or written, between us and you with respect to such matters.

(13.10) Language —The parties confirm that they have expressly requested that this Agreement and all related documents be drawn up in the English language. Les parties confirment avoir expressément demandé que la présente convention et tous les documents qui s’y rattachent soient rédigés en langue anglaise. The French version of these Terms is accessible here.

(14)        Dispute Resolution for United States Residents

(14.1)    Application. This Section 14 applies only if you reside in the United States. In these Terms, “Dispute” means any dispute or claim between you and us arising out of or relating to these Terms, the Site, or any Content, whether based in contract, tort, statute, or any other legal theory. A Dispute does not include any claim arising under the securities laws of any jurisdiction or otherwise relating to an investment in our securities.

(14.2)    Informal resolution. Before either party begins an arbitration or other proceeding (other than an action for injunctive or other equitable relief under Section 14.4), the party asserting a Dispute must send the other a written notice describing the Dispute and the relief sought, and the parties will attempt in good faith to resolve it informally for sixty (60) days after the notice is received. Notices to us must be sent to the U.S. office address or email address listed at the end of these Terms, and notices to you will be sent to the most recent contact information you have provided to us, if any. Any applicable limitations period, including the one-year period for bringing claims under these Terms, is tolled during that sixty-day period.

(14.3)    Agreement to arbitrate. If a Dispute is not settled informally, you and we agree that it will be resolved exclusively by final and binding arbitration on an individual basis, except as provided in Section 14.4. The Federal Arbitration Act governs the interpretation and enforcement of this Section 14. The arbitrator, and not any court, will decide all issues relating to a Dispute, including the scope, validity, and enforceability of this Section 14. A court, however, will decide whether a Dispute falls within Section 14.4 and any issue concerning the enforceability of Section 14.6.

(14.4)    Exceptions; courts. Either party may bring an individual action in small claims court for any Dispute within that court’s jurisdiction, for as long as the action remains in that court and proceeds on an individual basis. Either party may also seek injunctive or other equitable relief in court to protect its intellectual property rights or to prevent or stop a violation of the restrictions in these Terms on automated access to the Site and on the extraction or use of Content. A Dispute that applicable law does not permit to be arbitrated under a predispute agreement, including a Dispute covered by the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021, may be brought in court at the election of the person asserting it. Any Dispute that proceeds in court, other than an action in small claims court, must be brought exclusively in the state or federal courts located in New York County, New York, and you and we each consent to the personal jurisdiction of, and venue in, those courts.

(14.5)    Arbitration procedure and fees. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules and Mediation Procedures or, if you are not an individual, its Commercial Arbitration Rules and Mediation Procedures, together with its Mass Arbitration Supplementary Rules where they apply, in each case as modified by this Section 14 (the “AAA Rules”). If the AAA is unable or unwilling to administer the arbitration, a court may appoint an arbitrator under Section 5 of the Federal Arbitration Act, and the arbitration will proceed under the AAA Rules to the extent practicable. A single arbitrator will conduct the arbitration. Any in-person hearing will take place in the county where you reside unless you and we agree otherwise, and the arbitrator may conduct any hearing by videoconference. Payment of all filing, administrative, and arbitrator fees will be governed by the AAA Rules. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

(14.6)    Class action waiver. YOU AND WE EACH AGREE THAT A DISPUTE WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, WHETHER IN ARBITRATION OR, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN COURT, AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, AND THAT NEITHER YOU NOR WE WILL PARTICIPATE IN ANY SUCH ACTION AS A PLAINTIFF OR CLASS MEMBER. The arbitrator may award relief, including declaratory or injunctive relief, only in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party’s individual claim. If a court finally determines that applicable law precludes enforcement of any limitation in this Section 14.6 as to a particular claim or request for relief, including a request for public injunctive relief, that claim or request (and only that claim or request) will be severed and may proceed in court, where it will be stayed until any arbitration of the remaining claims is complete. In no event will a Dispute proceed as a class or collective arbitration, and this Section 14.6 controls over the Severability provision of these Terms.

(14.7)    Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE THAT PROCEEDS IN COURT.

(14.8)    Right to opt out. You may opt out of arbitration under this Section 14 by sending written notice to us at the U.S. office address or email address listed at the end of these Terms within thirty (30) days after you first become subject to this Section 14. The notice must include your name and residential address and a clear statement that you wish to opt out of arbitration. If you opt out, any Dispute will be resolved in the courts described in Section 14.4, and the rest of these Terms will continue to apply to you.

(14.9)    Changes; survival. If we change this Section 14 after you first become subject to it, the change will not apply to any Dispute that arose, or of which we had actual notice, before the change took effect. This Section 14 survives any termination of your use of the Site. Except as provided in Section 14.6, if any part of this Section 14 is found to be unenforceable, the remainder will be enforced.
